Custom Development Projects

These Terms and Conditions (“Terms”, “Agreement”) govern all custom development projects (“Projects”) carried out by No Code Flow (“we”, “us”, “our”) for clients (“you”, “your”).

They apply to all project-based collaborations, including but not limited to custom feature development, Webflow integrations, and implementation services.

By confirming a project with us typically via email confirmation or through a Gumroad purchase you acknowledge and accept these Terms.

§1 Scope of Work and Communication

The scope, deliverables, and timelines for each project are defined through written communication, typically by email.
Any additions, changes, or extensions to the agreed scope must be confirmed in writing and may affect cost and delivery timelines.
Meetings, calls, and feedback loops are considered part of the project process only if explicitly included in the agreed project scope.

§2 Use of Developed Code and Features

All code, components, or features developed during the project remain the intellectual property of No Code Flow, unless explicitly stated otherwise in writing.
You receive a non-exclusive, non-transferable license to use the delivered code on your specific project or website.
No Code Flow retains the right to reuse, modify, resell, or integrate any part of the code, ideas, or features developed during your project into future projects, products, or services (including Dynamic Map or other SaaS tools).
You acknowledge that custom-developed features may later appear as part of No Code Flow’s publicly available products.

§3 Delivery, Acceptance, and Support

Upon delivery of the agreed deliverables, you have 7 calendar days to review and request reasonable adjustments limited to the project scope.
If no feedback is provided within this timeframe, the project is considered accepted and closed.
Unless otherwise agreed, ongoing support or maintenance after project delivery is not included. Support can be provided as a separate paid service.

§4 Payment Terms

Unless stated otherwise, all project prices are net amounts in U.S. Dollars (USD) and subject to applicable VAT where required.
Payment is due within 14 days of invoice date, unless another payment schedule (e.g., milestone-based or split payment) has been agreed in writing.
For smaller projects (generally under $2,000 USD), No Code Flow requires 100% upfront payment before project commencement.
For larger projects, No Code Flow requires a 50% upfront deposit before work begins and issues a second invoice for the remaining 50% upon delivery of the agreed work. The final payment is due within 14 days of the invoice date.
Work will begin only after receipt of the agreed upfront payment.
In the event of late payment, No Code Flow reserves the right to pause all ongoing work, withhold delivery, or temporarily disable delivered functionality until full payment is received.
All payments must be made via Gumroad, bank transfer, Wise, or another mutually agreed payment processor.

§5 Client Responsibilities

You agree to provide all required materials, assets, content, or access credentials in a timely manner to allow us to complete the project.
Delays in providing such materials may extend the delivery schedule.
You confirm that you hold all necessary rights for any assets or data you provide to us.

§6 Intellectual Property and License

All pre-existing intellectual property of No Code Flow—including software libraries, frameworks, design systems, and know-how—remains our property at all times.
Upon full payment, you receive a license to use the delivered work as specified in §2.
You are not permitted to resell, sublicense, or redistribute our code or deliverables without explicit written permission.

§7 Warranties and Limitations

We guarantee that the delivered code will function as described in the agreed project scope at the time of delivery.
However, we do not warrant that the code will remain compatible with future versions of Webflow, browsers, APIs, or third-party services.
No Code Flow is not liable for indirect, incidental, or consequential damages (e.g., data loss, downtime, lost profits, or client loss).
Liability for direct damages is limited to the amount paid by you for the specific project.
No Code Flow is not responsible for changes made by you or third parties to the delivered code after handover.

§8 Confidentiality

Both parties agree to treat all confidential project information as strictly confidential and not disclose it to third parties.
We may use anonymized project descriptions, screenshots, or outcomes for portfolio or marketing purposes, unless you explicitly object in writing.

§9 Termination

Either party may terminate the project agreement before completion with written notice.
In case of termination by the client, all completed work up to that point will be invoiced and must be paid in full.
No refunds are provided for completed or in-progress work.

§10 Payment and Distribution via Gumroad

For international clients, project payments may be processed via Gumroad, which acts as a Merchant of Record (MoR).
By completing a payment through Gumroad, you agree to Gumroad’s Terms of Service and Privacy Policy.
Gumroad will issue the invoice and handle tax and payment processing on behalf of No Code Flow.
After successful payment, the project or related deliverables will be initiated as per the agreed scope.

§11 Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany, excluding conflict of law principles.
The exclusive place of jurisdiction for all disputes arising out of or in connection with this Agreement is Berlin, Germany.

§12 Miscellaneous

Any amendments or additions to this Agreement must be made in writing.
If any provision of this Agreement is held invalid or unenforceable, the remaining provisions remain in full force and effect.
